To the maximum extent permitted by applicable law, KMNG Ventures LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services. This includes, without limitation, damages for loss of profits, data, business opportunities, or goodwill.
In no event shall our total aggregate liability for all claims arising under these terms exceed the amount paid by you to KMNG Ventures during the twelve months preceding the event giving rise to the claim. These limitations apply regardless of the legal theory upon which the claim is based.
Either party may terminate a service engagement in accordance with the termination provisions of the applicable statement of work. KMNG Ventures reserves the right to suspend or terminate access to our website and services at any time if we reasonably believe a user has violated these terms or engaged in conduct that is harmful to our business, clients, or systems.
Upon termination, all rights and obligations accrued prior to termination shall survive, including provisions related to intellectual property, confidentiality, limitation of liability, and dispute resolution.

Any legal action or proceeding arising under these terms shall be brought exclusively in the federal or state courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of such courts.
In the event of any dispute arising from or relating to these terms or our services, the parties agree to first attempt resolution through good-faith negotiation for a period of thirty days. If negotiation fails, the dispute shall be resolved through binding arbitration administered in Salt Lake City, Utah, in accordance with the rules of the American Arbitration Association. The arbitrator decision shall be final and binding on both parties.
